All quotations of the seller are without obligation, unless stated otherwise in writing. A quotation is valid for 30 days after the quotation date. After the expiration of this period, the seller reserves the right to change prices and conditions. An agreement is concluded exclusively after written confirmation by the seller.
Unless otherwise agreed in writing, transport costs, insurance and any import duties are for the account of the customer. The risk of loss or damage to the goods transfers to the customer at the moment the goods leave the seller’s warehouse. If the seller arranges the transport, this is done at the expense and risk of the customer, unless expressly agreed otherwise.
The stated delivery times are indicative and do not constitute a strict deadline. Force majeure exists when the seller is prevented from fulfilling his obligations due to circumstances beyond his reasonable control, including but not limited to natural disasters, strikes, illness of personnel, transport problems, government measures and disruptions at suppliers. In the event of force majeure, the delivery time shall be extended by the duration of the force majeure situation. If the force majeure continues for more than 60 days, both parties have the right to terminate the agreement in writing without obligation to pay damages.
Payment must be made within 14 days after the invoice date, unless otherwise agreed. In the event of exceeding the payment term, the customer shall be in default by operation of law. From the due date, the customer owes the statutory interest. All reasonable extrajudicial collection costs shall be borne by the customer in accordance with the applicable legislation. Payments shall first be applied to outstanding costs, then to interest and thereafter to the principal sum.
All delivered goods remain the property of the seller until the customer has fully complied with all his payment obligations. If the customer does not pay on time, the seller is entitled to repossess the delivered goods. The customer is obliged to fully cooperate in this regard.
The seller provides a warranty of 12 months after delivery for manufacturing and material defects. The warranty becomes void if the product has been used improperly, has been modified or repaired without the seller’s permission, or if damage has occurred due to normal wear and tear. The warranty exclusively covers repair or replacement of the product and does not entitle the customer to additional compensation.
The parties shall make efforts to resolve any disputes in the first instance by mutual consultation. If this does not lead to a solution, the dispute shall be submitted to the competent court in the district where the seller is established. All agreements are exclusively governed by Dutch law.
The liability of the seller is limited to the invoice amount of the relevant delivery. The seller is not liable for indirect damage, consequential damage, loss of profit or business damage. The customer is liable for damage arising from improper use of the product. Each party is responsible for damage arising from its own errors or negligence.
